He also advises investment funds on how to structure their acquisition of holdings, financing, investment and management packages. Amaury is an instructor at the Ecole des Avocats (law school), at the University and at EM LYON business school.

As a lawyer since 2007, AuréIie POULIGUEN has been practicing exclusively in the field of real estate law for both professionals and individuals. Christophe BLUM joined LexCase in January 2018 and head the Corporate Law Department with Guillaume PIERSON. Christophe assists executives with the management of their legal projects and the organization of their own assets, from the conceptual to the execution phases. His practice covers all of the stages of the life of an entrepreneur, from the setting up of a business and the everyday legal management of the business to the structuring of groups of companies (implementation of holding structures, drafting of intra-group agreements), and employee and executive equity ownership (free shares, BSPCE (founder’s share subscription warrants), stock options, and other securities). Christophe's areas of expertise also includes growth and development projects, mergers and acquisitions. Additionally, he assists shareholders and CEOs in managing their assets and succession to anticipate the legal impact of life’s uncertainties.

Partner since 2021 at LexCase, Delphine LOYER heads the Insurance Law Department. As a holder of a certificate of specialisation in insurance law, Delphine advises, assists and defends the clients in this area, throughout France. In the context of consulting, the Insurance Law team carries out insurance contract audits. Managers/decision-makers are concerned about managing the potential risks of the company’s activity and request a verification of the adequacy of the guarantees either in relation to the needs of the activity, or in a merger-acquisition project for example. It drafts legal consultations and/or strategic notes at the request of clients, to help them make decisions. The Insurance Law team also acts on an ad hoc basis for insurance intermediaries (brokers, insurance intermediaries’ agents, etc.) in the context of their legal obligations related to the practice of their activity.

Attorney at law registered at the Paris Bar, Diane BANDON-TOURRET leads the Life Sciences department of LexCase. Throughout her career, in both French and International law Firms, she has built a practice dedicated to Life Sciences industrials (pharmaceutical companies, medical device, cosmetics, and food supplements manufacturers, biotechs, contract research organizations…). She advises her clients on regulatory issues, notably manufacturing, market access, pricing, promotion, compliance with anti-gift regulations and withdrawal of health products. I also handle proceedings against French competent authorities, notably on sanitary police issues and is representing her clients before courts in serial liability cases.

Partner at LexCase since November 2009 Guillaume PIERSON heads the Corporate Law/Mergers & Acquisitions Department with Christophe BLUM. The Corporate Law/Mergers & Acquisitions team provides services at the earliest possible stage of a project in order to assist its clients throughout the life of the project and the legal process. More specifically, this team has acquired expertise in the structuring of complex acquisitions and is able to organize and rely on all of the firm’s departments when due diligence is performed for acquisitions. Guillaume also advises all types of clients (startups, executives, groups, national and international businesses) on their everyday legal issues. Additionally, he is particularly interested in the law governing non-profit associations and advise senior managers of these organizations.

As a partner at LexCase since 2022, Maxime BÜSCH leads the Public Business Law department alongside Alain de Belenet and Raphaël Apelbaum. In collaboration with the Department’s team, Maxime assists clients in the private and public sectors, in particular in the sector of construction (contracts and liability), property management, railway activities and healthcare product sectors. He works both in the advisory phase and in the pre-litigation and litigation phase, mainly in matters of public contract law, public property law, town planning law and liability law for public persons. Maxime also provided legal training on public procurement contracts, in particular for LexFormation, Edition Formation Entreprise (EFE) and Le Moniteur Formations.

He also provides training on taxation in management schools and universities.

Raphaël APELBAUM

Partner at LexCase since 2014, Raphaël APELBAUM co-manages the Public Business Law department with Alain de BELENET and Maxime BÜSCH. A public lawyer by training, he followed his career in the United States for several years before returning to France in 2006. He is admitted in New York and Paris. He is a specialist of the French Administration. Raphael assists his clients in numerous matters related to French public business law and public procurement law, construction law, and regulatory law (customs and immigration). He also advises and provides complex expert opinions on numerous public and/or private works and construction projects in France (pre-litigation negotiations, mediation, discussions before expert committees, complex expert opinions). Thanks to his international experience, he also advises major industrial groups facing problems with the French Administration, whether in connection with contractual performance or regulatory issues.

Sébastien SEMOUN has been a partner at LexCase since December 2014 and currently head the Business Law Department. More specifically, he provided legal services in the field of distribution law with my three team members. Business law is a fascinating field, as it delves into the lives of businesses. It is exciting to assist our clients in matters that range from the implementation of a project to the actual marketing and sales of products and services of all types. Curiosity is key, as we must become familiar with our clients’ corporate culture, their goals and values, so that we can offer the most appropriate contractual arrangements and, when needed, an effective defense. Throughout his career, Sébastien has acquired solid experience in business law, in particular distribution law, both as a consultant and as a litigator.
