Alejandra has 15 years of experience in the drafting and negotiation of purchase and sale, lease, development, and property management agreements. She was the Legal Director for Intramerica Real Estate Group (a GE subsidiary) and, later, for Fibra Macquarie, where she managed the legal operations of its industrial portfolio throughout the country at 21 cities in 15 States, with a surface of 16 million square feet for Intramerica and 260 industrial buildings for Macquarie. She has specialized in the negotiation and execution of leases for industrial assets, including single tenant, built-to-suit, multi-tenant and sale and leaseback. She has also participated in the leasing of retail centers and office buildings, as well as the drafting of legal documentation and due diligence for the acquisition of industrial facilities. Some of the relevant real estate transactions on which she has worked are the acquisition by Intramerica Real Estate Group of Intermex US$400MM industrial portfolio in 2007, and the selling to Fibra Macquarie in 2012 of GE Capital Real Estate industrial buildings in Mexico with a value of US$800MM. She has negotiated and closed complex and structured leases with a number of tenants (triple net with domestic and foreign corporate guaranties, bonds and letters of credit), including GE Healthcare (Ciudad Juarez), Kellogg’s (Queretaro), Lear Corporation (Puebla), Toledo Tool & Die (Queretaro) y Belden de Sonora (Nogales).
Alejandro is a specialized real estate lawyer with 20 years of experience in the industry. For 10 years he was General Counsel of GE Capital Real Estate Mexico, where he led the legal operation of GE's $5 billion dollar commercial real estate business and portfolio in Mexico. He advises clients on joint ventures, creation of special purpose vehicles (including trusts), acquisition, development, management, leasing and disposition of assets, as well as all types of real estate financing. Alejandro is highly experienced in financing real estate portfolios in Mexico of all asset classes (industrial, retail, office, hotel, residential and mixed-use projects), representing lenders and borrowers in structured, senior, mezzanine, club deals, syndications, recourse and non-recourse, cross-collateralized, security trust, mortgage and pledge loans. An important part of his real estate practice also consists of supporting clients in their due diligence, construction, condominium setup and management of their projects (including hotel operating agreements, supervision and management of developing and stabilized projects), as well as in the negotiation and execution of their leases (speculative, multi-tenant, built-to-suit, sale-and-leaseback) for industrial buildings, multifamily, retail and office premises. Some relevant transactions that Alejandro has structured, negotiated and closed includes the acquisition of the Finsa and Intermex industrial portfolios by GE Capital Real Estate with a value of US$460MM and US$400MM, respectively; the joint venture between GE and Vesta to develop the Industrial Aerospace Park of Bombardier in Queretaro; the reestructure and assumption of a real estate loan granted by GE to Fibra Uno in an amount of US$800MM as a result of the Gicsa’s portofolio acquisition; the sale to Fibra Macquarie of GE’s US$830MM industrial portfolio, including the seller financing from GE to Macquarie in an amount of US$735MM; the acquisition by GE of Eurohypo’s US$100 milions real estate loan portafolio in Mexico; and the selling of GE US$3.7 bilions real estate loan portfolio in Mexico to Blackstone, including the US$3B seller financing. In addition, he has participated in the acquisition of shopping centers for Planigrupo and MRP, as well as the selling of 15 retail assets from the joint venture between GE and Kimco to Macquarie, Walton Street Capital and Frisa. Also, he has structured joint ventures for Prudential (PGIM) in connection with the acquisition and development of retail centers and for the construction and estabilization of industrial facilities between GE and Dynatech. He has adviced Finsa, Advance Real Estate Group (PSP Canada Pension Fund), MRP and Planigrupo in the acquisition and disposition of industrial assets and retail centers in Mexico and Santander Global Facilities in the sale-and-leaseback in the modality of built-to-suit of an office building in Queretaro. Recently, he has represented Brookfield, Credit Suisse, HSBC, Santander, Nexxus Capital and Sabadell in the granting of a number of residential and commercial real estate loans in Mexico and has acted as outside counsel in syndications with Banco del Bajio, Bancomext, Banorte, Citibank, Monex and Scotiabank. Alejandro has been recognized as a real estate attorney and ranked by Chambers & Partners and Legal500. In 2016, Alejandro participated in the elaboration and publication of the chapter for Mexico of the book "The Real Estate M&A and Private Equity Review" and is a member of the Mexican Bar Association and the Urban Land Institute.
Federico has specialized his practice for the past 5 years in industrial and retail real estate transactions. He has extensive experience in drafting and negotiating purchase and sale, construction and lease agreements. For 3 years he was a member of Finsa's in-house legal department, where he began his practice and collaborated in the regularization process of properties with an agrarian background, as well as in the acquisition and sale of industrial portfolios.
Guillermo specializes in advising local and international companies on real estate transactions for all asset classes, including the set-up of investment vehicles, due diligence, and reports on risk assessments and its mitigation. He has also participated in the obtaining of commercial real estate financing for customers, as well as drafting and negotiating master purchase & sale agreements for the disposition or acquisition of portfolios. He has advised clients in the legal strategy for condominium constitution and in the structuring and negotiating of industrial, office, residential and retail leases.
Maria Jose Duclaud specializes on national and international corporate transactions, with specific expertise in general corporate law. Maria Jose has provided advice to local and foreign clientes in connection with their investments in Mexico, drafting and negotiation of the relevant contracts for their operations, due diligence, e-signature regulation in Mexico and its implementation, as well as the management of their corporate books and daily maintenance of their legal entities in Mexico. She has specialized in the negotiation and execution of leases for industrial assets, including single tenant, built-to-suit, multi-tenant and sale and leaseback. She has also participated in reviewing documentation for all types of assets and generation of the respective legal due diligence reports (full-blown or red-flag only) in real estate acquisitions and financing, as well as drafting of the related documents and agreements for such transactions.
Marian has 7 years of experience in the real estate industry. For 4 years she worked in U-Calli, a real estate developer in Monterrey, and has developed extensive knowledge in leases for retail, industrial and office assets, as well as educational institutes, representing tenants and landlords. She has also participated in a number of transactions related to the acquisition and sale of shopping centers and industrial assets, including legal advisory, preparation of due diligence reports regarding red flags and the negotiation and execution of the corresponding preliminary and closing agreements. Additionally, she has led the creation, reorganization, estate re-assignment, trustee substitution, compliance reporting, legal management and liquidation of over 100 real estate trusts. Some of the real estate transactions in which she has participated include the acquisition by Planigrupo of two retail centers in 2017 with a value of $350 million, the sale of industrial assets by Prudential in Mexico located in Tijuana and legal counseling to Guess for the leasing of their stores in Mexico.
Mariana has specialized experience in real estate auditing for all types of assets in acquisitions and financing, joint ventures for project development, leasing and disposition of assets, as well as drafting of the related documents and agreements for such transactions. She has participated in the analysis of specific legal and contractual real estate matters, advising clients on mitigation of legal risks and contractual solutions. Her practice also includes knowledge regarding the structuring and negotiation of leases for all asset types, development contracts and purchase & sale agreements. She previously worked at a Notary Public's office, hence, she also has the required sensitivity to understand Notary and public registry processes and timeline.
Miguel has focused his practice for the past 10 years on real estate transactions, advising individuals and corporations in analyzing, structuring and implementing their real estate operations in Mexico, as well as on the execution of loans to leverage their projects. He has participated in the acquisition of all types of real estate assets, including industrial, retail and mixed-use projects. He has extensive experience in drafting all types of real estate trusts, including joint venture, corporate, pass-through, management, development and security trusts.
Nestor has extensive experience in antitrust law, as well as in corporate and transactional law, where he has focused his practice for over 7 years. He has participated in several merger notification filings and absolute and relative monopolistic practices investigations before the Federal Antitrust Commission, being involved in complex matters that have even won or been nominated for the Global Competition Review's matter of the year award. During his practice he has advised Mexican and international clients in foreign investment matters, mergers and acquisitions, in the drafting and negotiation of their contracts in Mexico, as well as in the legal and corporate activities of their Mexican subsidiaries. Nestor is a member of the International Comments & Policy Committee de la ABA Antitrust Law Section.
Oscar specialized in the structuring of financing and real estate operations, providing support to financial institutions and investors in the implementation of legal strategies for credit facilities, syndication and restructuring, land bank acquisition and joint venture creation for project development.
