Areas of practice
Mergers and acquisitions: KECO advises local and international companies, funds and individuals for its mergers and acquisitions transactions, both in sell and buy side. KECO also advises start-ups in relation to their investment rounds.

KECO assists its clients in relation to the structuring of the transaction; preparation and negotiation of term sheets and non-disclosure agreements; legal due diligence, as well as assessment and management of relevant risks; preparation and negotiation of the transaction documents; satisfaction of conditions precedent and completion of the closing of the transaction.

Corporate and commercial: KECO advises its clients on the day to day matters, such as corporate law matters including consultancy services required for all types of companies on the incorporating and registering a company, preparing/amending constitutional documents, conducting the board of directors and general assembly meetings, carrying out capital increase or decrease transactions, and transactions related to stocks and bonds, and company liquidation; and employment law matters including consultancy services regarding preparation of individual and collective labor agreements, workplace policies and procedures. In this regard, KECO assists its clients in relation to risk assessment and mitigation, action plans and timelines to ensure compliance and management of relevant processes.

Capital markets: KECO advises companies considering offerings, financial institutions, brokerage firms, investment funds and issuers in relation to initial/secondary public offerings, bond and other debt securities offerings, establishment of investment funds.

KECO also assists investors, brokerage firms and public companies in relation to compliance processes as well as administrative, civil or criminal litigation cases.

Banking and finance: KECO advises local and international financial institutions and borrowers/sponsors in their financing transactions. In this regard, KECO advises on structured finance, project finance, acquisition finance, asset finance, refinancing, restructuring transactions, as well as other commercial banking transactions. KECO also assists clients in relation executive proceedings relating to banking transactions.

Dispute resolution: In dispute resolution matters, KECO prioritizes strategies enabling reconciliation between the parties as the firm believes it is the fastest and most efficient way to procure that its clients gain the benefits they expect to have at the end of the dispute resolution process.

The firm has extensive experience on resolution of disputes concerning various fields of law and represents its clients in threatened and pending disputes.

Enforcement and bankruptcy: KECO assists its clients on collection of their receivables, and regularly provides reports to its clients to ensure that its clients have up-to-date information as to the collectability of their receivables and that they will retain their legal rights related to such receivables.

KECO also advises its clients on processes to eliminate any legal objections suspending enforcement proceedings.

Criminal: In addition to providing legal consultancy to its clients within the scope of the crimes in the Turkish Penal Code and other special legislation, the firm acts as attorney for both the accused/suspect, and the victim/intervening party during the investigation and prosecution phases. KECO also supports its clients in detecting criminal risks within the scope of capital market crimes, white-collar crimes, and financial crimes in commercial transactions.

Cyber security and cyber-crime: KECO provides consultancy services to actors from the private and public sectors regarding all kinds of contracts and legal arrangements for ensuring information security in the digital environment. KECO also provides litigation and legal consultancy services on cyber-crimes and digital forensics which is an intersection of cyber security and criminal law.

Family: KECO advises its clients on contested and uncontested divorce cases and all legal processes concerning marital property, including preparation of prenuptial agreements. KECO also advises its clients on legal processes relating to custody, paternity and appointment of legal guardian.

Inheritance: KECO advises its clients on preparation of testamentary disposition matters including wills and inheritance agreements as well as agreements relating to partition of inheritance. KECO also represents its clients in all inheritance law disputes.

Real estate: KECO advises to local and foreign clients on matters relating to purchase-sale, management, lease of real estate, establishment of mortgages and other real or personal rights, construction projects including urban transformation projects and construction contracts in return for land shares, both in the process of legal transactions before governmental offices and in the negotiation process of agreements with the counterparties.

Labor and social security: In addition to legal consultancy services regarding the preparation of individual and collective labor agreements, KECO advises its clients in the execution of recruitment and termination processes, employee and workplace safety; and KECO represents its clients in labor disputes.
