In Banking and Finance, we advise and represent domestic and international banking and financial institutions in various banking and finance transactions, started from cross border bilateral and syndication financing to private companies as well as publicly listed companies up to debt restructuring.

We  are  well  versed  in  different  legal  aspects  of  banking  and finance  in  Indonesia,  and  we  have  access  to  the  requisite knowledge and experience on various banking and finance transactions.

We have assisted our clients, among other things, in the following transactions:

  • Structuring and preparing the legal documents for the security sharing arrangement for 4 loan facilities from local and international banks to an Indonesian conglomerate group company which owns and operates one of the skyscrapers in Jakarta, Indonesia including a luxury hotel in such building with security value of more than USD 300 million;
  • Advising an international bank and its Indonesian branch office in restructuring USD 250 million loan facilities to an Indonesian company which owns and operates a golf club in Bali, Indonesia.
  • Representing an Indonesian commercial bank in preparing a restructuring plan for non-peforming loans from its borrowers with a total value of USD 1.2 billion;
  • Advising Bangkok Bank PCL for the settlement process of the outstanding accounts at its Indonesian’s branch office which has been integrated to PT Bank Permata Tbk;
  • Representing a Hong-Kong based investment firm in providing a series of loan facilities to one of the largest Indonesian multi-finance companies;
  • Representing a group of international lenders in providing syndicated venture debt facilities to various startup companies in Indonesia, such as: Fore Coffee, Digi Asia Group, Cove Living, etc;
  • Advising PT Sarana Multigriya Finansial (Persero) in developing its various housing loan products to extend its reach to un-bankable people in Indonesia.

In Construction, we are familiar with legal and licensing assistance and services required for establishing a foreign construction service representative office (BUJKA) in Indonesia including legal aspects relating to the joint operation agreement between BUJKA and its local partner and legal risk mitigation involving construction contracts.

We have advised and assisted a globally reputable construction company in establishing its presence in Indonesia, including assistance with relevant licensing applications and membership admission into relevant construction associations. We have also advised and assisted in the corporate restructuring of a well-established foreign-invested construction company, including assisting in upgrading its construction services license from B1 category to B2 category.

In Criminal Proceedings, we have experience in advising clients victimized by fraud and embezzlement in individual and corporate criminal law cases as well accompanying the clients in navigating the process with the authority.

In Employment, HDPP has broad range of experience in representing companies or enterprises in solving their employment issues from employment compliances related matters, preparing compliant and tailored employment contracts, managing and handling labor strike, up to representing our clients in amicable settlement and/or the court for industrial relation cases.

In Family Law, Inheritance, and Trust, most of our experience in this matter cover drafting up to executing last will, providing affidavit for execution of inheritance both domestic and overseas, and handling more about law of domestic relations.

In General Corporate & Foreign Investment, we guide and advise our clients, among other things, on their corporate compliance requirements as to ensure proper handling and maintenance of required corporate documents prescribed under the applicable law as well as advising clients on all general corporate matters, including:

  • corporate governance;
  • joint ventures;
  • capital market transaction advisory; and
  • private equity.

Our international clients rely on our foreign investment advisory and legal services to advise and assist them to be familiar with the the online single submission (OSS) system. We also advise our clients on various investment structures deals within the constantly evolving and changing negative list and foreign investment requirements in Indonesia.

In Hotel, Resort, and Tourism, HDPP has rich experience in providing our clients with broad professional services coverage in this sector from representing the owner in appointing hotel management services until setting up a combination between managing the hotel and selling the property through specific mechanism for foreign ownership.

We have assisted our clients, among other things, in the following transactions:

  • Representing PT Awahita Indonesia, the hotel owner of Capella Ubud Bali Resort, in negotiating the hotel management agreements with the hotel operator;
  • Representing SMESCO Indonesia (a business unit under Ministry of Cooperatives and SME of the Republic of Indonesia) in negotiating hotel management agreement with the hotel operator for the management of Grand SMESCO Hill in Bogor, West Java.

In Insolvency and Restructuring, HDPP has 2 (two) active administrators and receivers for debt restructuring and bankruptcy matters. Through our tailored professional services, we have been able to represent clients in recovering their bad debt through bad debt restructuring and composition plan with their creditors. One of our founding partners is also an active board member of the Indonesian Association of Trustee in Bankruptcy and Administrator (Asosiasi Kurator dan Pengurus Indonesia – AKPI).

In Intellectual Property, our Intellectual Property Consultant has experience in providing various kinds of IP related services such as patents, trademarks, copyrights, industrial design and other IP matters. We are dedicated to advise and assist clients to protect their Intellectual Property. We work with individuals and businesses, from entrepreneurs, small medium enterprises to multi-national companies in creative industry, fashion, technology and/or other industries. We advise and assist them on registration and maximizing their value of IP including licensing.

In Litigation and Dispute Resolution, HDPP has represented clients as plaintiffs or defendants in various courts or other out of court settlements, as well as representation of clients as a third party in a dispute process. We assist clients in settling their disputes and advising on appropriate and effective litigation strategies. In representing our clients, we will protect our client’s ability to continue operating their business while we are taking care of their dispute settlement process. We will also consistently maintain comprehensive and informed communication with our client on their litigation proceeding to formulate the necessary strategy in presenting their cases.

In Mergers & Acquistions, we advise and represent international & local companies,  both  as  acquirer  and  seller  in  acquisition transactions.  Further,  we  have  handled  several  complex merger transactions, involving both private and public listed companies.

Other than the above, we have also been trusted by Indonesian conglomerate group companies to advise on the restructuring process upon the corporate structure in their group.

We have assisted our clients, among other things, in the following transactions:

  • Representing Rieckermann Group, a leading Germany machinery & industrial solution provider, on acquiring stakes and in entering a shareholders arrangement in a gas processing company, namely PT Sumber Aneka Gas, an indirect subsidiary of PT Super Energy Tbk, which is an affiliate of Tokyo Gas;
  • Representing UAC Global PCL, a leading Thailand renewable energy company, in acquiring majority stakes of a local waste to energy processing company and in entering into cooperation arrangement with a cement company under SCG group which has a concession with a local government;
  • Advising a Singapore technology company in structuring acquisition of majority stakes in a local multi-finance company and in entering into a shareholders arrangement with its existing local shareholders;
  • Representing a Thailand Medical Company in acquiring a local hospital company for its proposed development of the hospital for offering a new medical service method;
  • Advising Barito Pacific Group in restructuring the corporate structure of its subsidiary companies which involves 22 companies in its group;
  • Representing a Singapore Technology Company in conducting legal due diligence and acquiring shares in a payment services provider (PJP) category 1 company which operates an e-money business;
  • Advising Mayapada Group in structuring an acquisition of a hospital company by way of merging the hospital company into its publicly listed company and then purchasing the shares owned by the previous shareholders of the hospital company in the publicly listed company after the merger at the Indonesian stock exchange (cash-out merger);
  • Representing a  subsidiary  of  a  US-listed  company  in  preparing  the  acquisition structure  for  indirectly  acquiring  the  majority  stakes  in  an  Indonesian  financial institution through several layers of companies above the financial institution as well as conducting legal due diligence towards the financial institution.

In Private Equity/Venture Capital Investment, we actively advise and represent either investor’s or investee’s side in various domestic and cross-border investment transactions, including to assist in the legal due diligence process for the transactions. We have also assisted several venture capitals in structuring their funds to be offered to their investors (limited partners).

Our comprehensive knowledge in investment has also brought us to be invited by various business entities to  deliver  sharing  knowledge on various Indonesian legal aspects related to the investment transactions.

We have assisted our clients, among other things, in the following transactions:

  • Representing a green technology start-up company in conducting a Series A round of investment led by a Singapore venture capital firm;
  • Representing a group of investors, including an investment arm of an Indonesian decacorn start-up company and 2 (two) leading local and international venture capital firms,  in  conducting  legal due diligence and investment  into  USS  Networks, a leading multi-platform media & marketplace company;
  • Representing a startup company which focuses on coffee commodities development in receiving investment from a group of institutional investors which focus on green investment activities;
  • Representing Salt  Ventures,  a  leading  Indonesian  venture  capital  firm,  in conducting legal due diligence and investing in more than 15 early to growth stage companies in Indonesia, such as: Folkative, Dr. Soap, R66 Media, Amazara, Syca, Klinik Kehamilan Sehat, etc;
  • Representing Antler, a global early-stage venture capital firm, in setting up its presence in Indonesia;
  • Representing 2 (two) financial technology peer-to-peer lending companies in receiving investments from institutional investors and state-owned venture capital firms;
  • Representing Brightspot Indonesia, the founder of PT Cipta Retail Prakarsa (the owner of The Goods Dept, The Goods Cafe and The Goods Burger) in dealing with Falcon House  Partners  for  a  follow-up  equity  investment  in  PT  Cipta  Retail Prakarsa and for an equity swap process with a fashion start-up company.

In Real Estate, several of our clients operate in hotel and tourism industry and we have had the privilege to assist them in real estate and land acquisition matters including on land documents legal due diligence and land transfer documents. As professionals familiar with land related matters, we fully understand the difficulties in carrying out land acquisition particularly in rural areas where some or most of the plots of land are unregistered at the local land office. We assist our clients in ensuring the completeness and accuracy of these land documents and analyzing potential legal issues that may arise from such documents (or lack thereof) to mitigate and minimize any associated legal risks bearing in mind our clients’ project’s goals and long-term investment.

We have also assisted residential and shopping building (mixed-use building) developer in preparing and organizing legal documents to facilitate unit (conditional) transfer between the developer and the tenants.
