Adv. Adam Kadesh is a partner in FISCHER’s tax practice. Adam has over 13 years of experience in the taxation field, and holds extensive knowledge in all areas of taxation, including corporate taxation, individual taxation, international taxation, taxation of mergers and acquisitions, trust taxation, VAT, land taxation, and the Encouragement of Capital Investments Law. Adam provides legal advice and tax planning services to companies and individuals, residents of Israel and foreign resident. Adam represents clients in front of the ITA in various aspects, including for the purpose of obtaining preliminary approvals (“pre-rulings”), filing tax objections and managing assessment proceedings, voluntary disclosure proceedings, and more. Adam has extensive experience in representing taxpayers against the tax authorities in front of the competent courts, including income tax appeals, VAT appeals, appeals under the Land Taxation Law, and representation of taxpayers in front of the Supreme Court in groundbreaking tax cases.
Mr.  Berman is a partner at FBC, specializing in U.S. and Israeli securities, corporate and commercial law. His areas of practice include public offerings in the U.S., public and private M&A transactions, venture capital transactions (representing issuers and funds) and ongoing representation of hi-tech companies. Alex’s practice also includes fund formation and representation and counseling of funds. Alex obtained his J.D. from Columbia University, where he was a Harlan Fiske Stone Scholar. Alex was a partner at Sharir, Shiv & Co. until the firm joined FBC . Prior thereto, Alex spent seven years at the New York offices of Weil, Gotshal & Manges LLP, where he worked in the Capital Markets Group, focusing on equity and debt financings, and in the Israeli Practice Group, concentrating on Israeli IPOs in the U.S. capital markets.
Ms. Korman Gafni is an associate in the Planning and Zoning practice at FBC. Ms. Korman Gafni specializes in real estate and planning and zoning. Within this context, she handles the preparation and submission of plans, objections in various planning proceedings and appears before various legal entities, including district appeal committees, administrative and quasi-legal courts, critical appraisers, the Israel Land Authority and more. FBC - Amir Chen Mr. Chen serves as FBC’s Managing Partner and heads the Real Estate and Planning & Zoning Department. He focuses on the planning and execution of large-scale and complex real estate projects, real estate-related financing, and real property tax matters. Mr. Chen is recognized as one of Israel’s leading deal-makers and is consistently ranked by international and domestic indices as one of the pre-eminent Israeli real estate attorneys. Mr. Chen advises and comments upon legislation in the real estate sector and frequently provides interviews, publishes and lectures on current trends in the Israeli real estate market. Mr. Chen serves as Chairman of the Property and Real Estate Committee of the Tel Aviv District of the Israel Bar Association, is a director and the academic coordinator at the Practical Law College, and is the academic director of the advanced real estate management course at the Gazit-Globe Real Estate Institute at the IDC Herzliya. Mr. Amir Varon is a partner in FISCHER’s Aviation & Maritime and Hotels & Tourism practices. He has special expertise in commercial litigation, class actions and commercial transactional matters involving, among others, consumer related claims, contractual claims and commercial law. Mr. Varon represents major foreign airlines and other foreign and local companies operating in the tourism industry, in a variety of areas related to international aviation law, private international law, Israeli law and Israeli consumer-related and aviation-related regulatory matters.
FBC - Amit Pines Mr. Pines is the head of FBC’s Liquidation & Receivership practice and Sports Law practice. Mr. Pines has an extensive and diverse experience in complex and comprehensive insolvency cases, and has broad experience in all matters relating to insolvency procedures. Mr. Pines acts from time to time as liquidator, receiver or trustee of companies or other entities and, especially on behalf of commercial banks. Mr. Pines has handled, in various positions, some of the most complex and major insolvency cases (including liquidation and restructuring) in Israel. Mr. Pines has vast experience in non-profit organizations` laws, after serving as liquidator and/or special administrator to substantial amount of non-profit organizations, including political parties and sport enterprises. Mr. Dat is the head of the Intellectual Property and Information Technologies practice in FBC’s Corporate Department.   Mr. Dat’s practice concentrates on technology oriented legal matters. He provides legal counsel to individuals, private companies and public companies (local and multi-national) with respect to intellectual property, information technology, privacy, data protection, information security, commercial activities in the cyberspace, internet law, gaming, and media and entertainment law.   Mr. Dat has extensive experience in advising clients on various types of intellectual property transactions, including investment in companies whose primary asset is IP, development agreements, purchasing and licensing of intellectual property, content and data transfers, as well as services in the arena of big data, web intelligence industry and other information oriented transactions.   Mr. Dat is a member of the Israel group for the Protection of Intellectual Property (AIPPI).
Mr. Bechler is a Senior Associate in FBC’s Labor & Employment practice, regularly advising domestic and multinational clients on various labor and employment related matters, including in complex litigation proceedings in different courts and tribunals. In particular, he has experience in representing employers in collective disputes and class actions in the field of labor and employment law. Mr. Bechler has experience in accompanying employers in collective negotiations, reorganizations and layoff procedures. In addition, he provides general counsel to corporations and individuals on a wide scope of collective and personal employment matters. Mr. Bechler leads the Firm’s immigration practice and is proficient in the various procedures for obtaining work permits and work visas for foreign employees in Israel. FBC - Anat Shavit Ms. Shavit is the head of FBC's Tax Department, recognized by international and domestic indices as one of Israel's leading tax practitioners. FBC - Avraham Well Mr. Well is the head of FBC’s Corporate practice. With over 25 years of experience, he is ranked by international and domestic indices as one of Israel’s premier corporate attorneys, specializing in debt restructuring, capital markets, banking & finance, corporate governance, securities regulation and M&A. Mr. Well has been involved in numerous high-profile M&A transactions, including representing the Government of Israel in the privatization of major banks in Israel, advising the Eurocom Group in the acquisition of the controlling interest in Bezeq for NIS 6.5 billion (one of the largest M&A transactions ever in Israel), and advising The Bright Food Group in its acquisition of the controlling intesret in Tnuva (one of the largest Chinese investments in Israel). Mr. Well has been involved in virtually all of Israel’s most significant restructurings, aggregating to billions of NIS of debt, and he is the first and only Israeli member of the International Insolvency Institute. Ms. Reich-Mina is a partner in the Litigation practice in our firm. Ms. Reich-Mina represents her clients in complex disputes in a wide variety of commercial and civil litigation proceedings. Ms. Reich-Mina has unique expertise and in-depth experience in the field of administrative law. Within this framework, she manages and leads a variety of petitions submitted to the High Court in a broad range of areas, as well as administrative petitions in the field of tenders. Ms. Reich-Mina provides ongoing legal counsel to public bodies that conduct tenders, to tender participants and tender committees. FBC - Boaz Noiman Mr. Noiman is a partner in FBC’s Corporate Department, where his practice focuses on M&A, capital markets, debt restructuring and private equity. Ms. Cohen is a senior associate in FBC’s Litigation Department, her practice concentrates on litigating commercial and administrative disputes. Prior to joining FBC, Ms. Cohen worked as a legal clerk in the legal department of the Supreme Court of Israel, following her legal internship there. She also completed a legal internship in the criminal department of the State Attorney's Office. During her academic studies, Ms. Cohen acted as a teaching assistant in various fields and served as a member of the "Hukim" Law Review editorial board. Recently Ms. Cohen acted as a frontal teaching assistant for Dr. Uri Ben-Uliel in the area of Contract Law at the College of Law and Business.
FBC - Dikla Lavy Fischer Ms. Lavy-Fischer is a partner in FBC’s Corporate Department and specializes in banking and finance transactions. Ms. Lavy-Fischer represents both lenders and borrowers in domestic and international financing transactions, such as syndicated finance, mezzanine loans, and complex secured debt transactions. In addition, she also counsels Israeli and foreign financial institutions with respect to financial regulation issues. Mr. Kol is a partner in the Litigation Department, where he specializes in commercial litigation and commercial disputes, with particular expertise in libel and slander, privacy law, media law and gag orders. FBC - Efrat Sharon Ms. Sharon is a partner in FBC’s Real Estate Department, where her practice concentrates on planning & zoning matters. Mr. Sharir is co-head of FBC’s Hi-Tech, Technology & Venture Capital Department and a partner in the firm's Corporate Department. Mr. Sharir specializes in corporate, securities and commercial law. Ms. Shitzer is a partner and Co-Manager in the Planning and Zoning practice of our firm. Ms. Shitzer has over 20 years of comprehensive experience in all aspects of planning and zoning, including representation of residential, commercial, and industrial developers, on behalf of both landowners and construction companies; providing extensive legal advice, both private and institutional, and appearing before various planning institutions.  Ms. Shitzer also advises clients with respect to dispute resolution matters and appears in courts and before appeal committees. Throughout her years of experience, Ms. Shitzer has served as outside general counsel to local planning and zoning committees. Within this context, Ms. Shitzer has provided extensive representation to local committees and developers and appeared before the various planning committees, appeal committees, administrative courts and the High Court. He gained experience in his many years serving, among other duties, as the general counsel in global companies, traded in Israel and abroad, and operating mainly in the fields of infrastructure, energy, and real estate. Among his many roles, Mr. Kattan served as the General Counsel of Shikun & Binui (2006-2017) and of Ormat Technologies (2018-2021). As part of his diverse roles, he has led extensive legal activity, in Israel and abroad. Among other activities, Mr. Kattan coordinated the legal aspects of mega infrastructure projects, renewable energy (including solar and geothermal projects) and transportation; mega-scale financing transactions; tenders in Israel and around the world; development of projects and mergers and acquisitions. He also guided the legal work of joint ventures and partnerships in connection with local and international companies for the development of infrastructure projects. Mr. Itay Brafman is a partner in FISCHER’s Capital Markets practice, where he heads the Oil & Gas, R&D (publicly traded VCs) and Film production Partnerships’ practice. Since 1993, Mr. Brafman specializes in representing corporations in their ongoing corporate matters and in all matters relating to capital markets (public offerings, private placements etc.) and has unique expertise in providing legal advice to limited partnerships in general (both public and private) and specifically, to public limited partnerships. Ms. Rabinovich is a Senior Associate in FBC’s Litigation Department. Her practice concentrates on corporate and commercial litigation, with a particular emphasis on class actions and derivative suits. Prior to joining FBC, Ms. Rabinovich clerked for the Honorable Justice Daphne Barak-Erez of the Supreme Court of Israel. During her legal studies, Ms. Rabinovich was a member of the editorial board of the Tel Aviv University Law Review, as well as an editor of the Law, Society and Culture book series. Ms. Rabinovich also served as a research and teaching assistant at the Tel Aviv University Faculty of Law.
Mr. Shtang is a senior associate in FBC’s Tax practice.   His practice concentrates on a wide range of tax law matters, including domestic income taxation, international taxation, real estate taxation and VAT.   Mr. Shtang provides legal opinions and tax planning to domestic and multinational corporations and individuals and assists in obtaining tax rulings and other arrangements with the Israeli Tax Authorities.   He advises on tax aspects of mergers and acquisitions, the laws for the encouragement of capital investments, as well as tax planning for clients of FBC’s Private Asset Management practice.   Prior to joining the firm, Mr. Shtang worked as an accountant at Deloitte Israel.
Mr. Libchik is a partner in the Planning and Zoning practice of our firm. Mr. Liss is a partner in FBC's Hi-Tech, Technology and Venture Capital practice. He acts for private and public sellers, buyers and other stakeholders, in a broad range of complex strategic and financial cross-border M&A transactions, including mergers, share and asset purchase agreements, investments, “going private” transactions, joint ventures and other equity transactions. Mr. Liss specializes in representation of international clients in their investments and M&A transactions in Israel. In addition, Mr. Liss represents the firm's technology clients in all stages of their development. Prior to joining FBC, Mr. Liss worked in the Mergers & Acquisition Department of White & Case LLP's New York office during the years 2006-2013. During that period, Mr. Liss worked on a variety of large and complex M&A transactions.
