Ashley specialises in securitisation and structured finance transactions for clients which include global investment banks and issuers. In particular, Ashley has worked on numerous high yield bond issuances with the leading law firms in London, a number of synthetic securitisations and has been involved in the Jersey elements of several credit card securitisation structures. She also advises on structured finance deals including equity placings as well as the issue of convertible bonds by Jersey incorporated issuers. Ashley also has extensive experience listing specialist debt securities on The International Stock Exchange (TISE) including the listing of high yield notes, credit-linked notes and variable funding notes on TISE.

Christopher has broad experience of both general international corporate and funds work with particular expertise in private equity and hedge funds, having spent ten years in the City at Ashurst, RAB Capital plc and most recently at SJ Berwin. Christopher spearheads Carey Olsen's crypto practice, advising on the launch in 2017 of Coinshares Fund I (a venture cap fund investing in crypto assets) and ARC Reserve Currency, Jersey's first initial coin offering or "ICO". Christopher also advises on all aspects of fund and corporate transactions, including the legal and regulatory aspects of fund launches, and joint ventures. He also has considerable experience in dealing with the Jersey Financial Services Commission in navigating investment vehicles through the Jersey regulatory approval process. While at Ashurst and SJ Berwin, he acted for several hedge funds, private equity and venture capital houses in relation to their fund launches, carried interest arrangements and ongoing corporate governance issues, including fund restructurings. During his time at RAB, Christopher set up several funds and advised in relation to the establishment of numerous managed accounts, including several bespoke performance fee mechanisms. More recently, Christopher has advised both managers and investors on the legal aspects of fund restructurings.

Fiona is counsel in Carey Olsen's corporate team and advises clients in respect of corporate, banking and property finance matters. She focuses on real estate finance transactions, and acts for financial institutions and corporate borrowers, including real estate funds, private equity funds, pension funds, asset managers, property institutions and high net worth individuals/ family offices in the structuring, investment and sale and purchase of real estate. Guy is head of the corporate law team in Jersey and one of Jersey's most experienced mergers and acquisitions, corporate restructuring and equity capital markets lawyers. Guy has worked on a number of high-profile transactions during his career in respect of UK and cross-border M&A and private equity transactions. He has a particular focus at Carey Olsen on corporate finance (particularly AIM and main-market listings of Jersey companies), mergers and acquisitions, corporate restructuring, structured investments, joint-venture vehicles and general corporate advice. He has acted on a number of financing transactions involving Jersey property unit trusts and general banking work. In terms of mergers and acquisitions, his work includes advising Capita Fiduciary Group Ltd on its purchase of AIB’s Jersey business on a full cash, debt free basis; advising Terra Firma on its acquisition of leading independent health and social care provider in the UK, Four Seasons Health Care; and advising Europe’s largest bicycle manufacturer Accell Group NV on the Jersey legal aspects of its US$100m acquisition of Raleigh Cycle Ltd. He was the only Jersey lawyer to be recognised in Who’s Who Legal: Mergers and Acquisitions 2014. He has also recently acted for a number of high profile Jersey acquisitions by way of schemes of arrangement, including advising CPA Global Group on its acquisition by Cinven in a deal valued in the region of £950m and Colfax UK Holdings Ltd on its acquisition of Charter International plc in a deal that is believed to be the largest transaction of its kind in Jersey with an estimated value of $2.426bn in cash and stock (approx £1.528bn). IPO work has included the first listing of PRC assets held by a Jersey company on the Hong Kong Stock Exchange (West China Cement). Guy also regularly acts for Nordic Capital in respect of acquisitions, financing and fund structuring. Guy also recently completed the complex acquisition by way of scheme of arrangement in Jersey to date when he acted for FRM Holdings on its acquisitions by MAN Group. Guy wrote a feature article for PLC Magazine’s January/February 2013 issue (being the first offshore lawyer to do so) on the CPA Global Group and FRM Holdings deals in which he was involved in “Question of Class in Merger and Acquisition deals. Case studies of the CPA and FRM deals”.

Keith has practised Jersey law since 1994. Marcus’ practice covers three main areas: contentious regulatory; insolvency; and financial services litigation. His experience includes having acted for the Jersey Financial Services Commission in the matter of JFSC v Black, but he now concentrates on acting for regulated entities involved in actual or threatened proceedings, including regulatory matters and investigations where the JFSC, or other regulators, are on the other side.  He successfully acted for a regulated trust company in defending an application by the JFSC that a series of unit trusts under their stewardship be placed into a court ordered liquidation. In addition, he is regarded as the lawyer of choice for the majority of the island's larger banking groups on regulatory issues. In the insolvency arena, Marcus' reputation as a leading practitioner has been established on the back of a series of successful, innovative applications which have expanded the reach of Jersey's insolvency laws. In particular he is renowned for his ability to persuade the court to exercise its discretion to permit novel processes to be adopted as part of Jersey law so as best to serve the needs of his clients. Notably, he succeeded in persuading the Royal Court that it could use powers under the Just & Equitable jurisdiction to permit what was a Pre-pack Administration in circumstances where administration itself is not a remedy known to Jersey law. Marcus leads the eGaming team in Jersey and has been advising clients since the inception of the eGaming industry. He is fully conversant with the various licensing and gambling laws and can provide company formation, licensing and regulatory advice as well as assisting on full migrations of existing businesses. Carey Olsen can also provide on-going legal support through its related practices. The final significant area of Marcus' work is his financial services civil litigation practice. He has recently been involved in a hotly contested and long-running breach of trust matter involving catastrophic loss of trust fund monies where his regulated client's position was protected, the matter resolved at a fraction of the amounts claimed and settlement effected principally from insurance policies against a background where coverage was denied at the outset.  Notwithstanding his reputation as a commercial and pragmatic lawyer, when the time comes he is renowned as a punchy and aggressive advocate, who is passionate about his work and extremely hard working and diligent.

Simon specialises in debt capital markets, high yield, securitisation and structured finance transactions for clients which include global investment banks, private equity groups and issuers. Simon has worked on numerous high yield bond issuances with the leading law firms in London and New York and has been involved in the Jersey elements of several credit card securitisation structures. Simon has also advised on the Jersey elements of a significant number of credit linked notes which are issued as part of synthetic securitisation structures. Simon advised the States of Jersey with its debut bond issuance in 2014 and also assisted with the subsequent listing of the securities on The International Stock Exchange. In addition, Victoria has dealt with numerous applications to the Royal Court of Jersey.
