The Procedure for Using Funds from the State Budget to provide State Support for the Implementation of Investment Projects involving Significant Investments was adopted at the session of the Cabinet of Ministers of Ukraine on 26 April 2024.

The agreement is the next logical step of the expert partnership between INTEGRITES and the Affordable Housing Institute (AHI) branded as the Rehousing Ukraine Initiative, which was established in the summer of 2022.

Tax and Customs practice protected interests of one of the leading Ukrainian producers of sunflower seed and rapeseed oil, Gradoliya Oil Extraction Plant LLC, in two stages of the tax dispute against the Main Directorate of the State Tax Services in Kirovohrad region (Ukraine).

INTEGRITES successfully protected interests of a Ukrainian grain producer as respondent in a London-seated GAFTA arbitration. With the claimant being a Swiss subsidiary of a Chinese trader, the case involved international sales contract for Ukrainian feed corn.

INTEGRITES successfully represented the interests of the Ukrainian state-owned enterprise “Ukrkhimtransamiak”, one of the world's major operators of ammonia pipelines, in arbitration before the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry (ICAC) against PJSC “Togliattiazot”, a Russian chemical giant, the world's largest ammonia producer.

Initiator and co-host is Affordable Housing Institute (USA) in association with the Temerty Contemporary Ukraine Program of the Ukrainian Research Institute (Harvard University).

INTEGRITES lawyers contributed to the submission of the Ukrainian Government’s response to the European Commission’s questionnaire as part of Ukraine's screening by the European Union for the status of candidate to the membership. Its completion is expected to facilitate the official start of Ukraine’s bid to join the EU, which will hopefully be fast tracked on the heels of the full-scale russian and belorusian military aggression earlier this year. 

INTEGRITES has supported Wärtsilä’s France-based Special Applications unit throughout the development of the bidding strategy, participation in two tenders as well as direct negotiations with the State Enterprise “National Nuclear Energy Generating Company “Energoatom” (Ukraine) for the procurement of replacements to the safety backup of nuclear power plant worth over EUR 2 million. 

INTEGRITES acted as a lead legal counsel to General Сommerce LLC in connection with the privatization of JSC “First Kyiv Machine-Building Plant” (Bilshovyk Plant), in particular, on obtaining merger clearance for the privatization.

INTEGRITES advised InVivo Group* (France) on obtaining merger clearances in Ukraine and other FSU jurisdictions for the acquisition of Soufflet Group**, the French family-owned agri-food group. The transaction has been completed by parties in December 2021. Its value reaching EUR 2,2 bln makes the deal one the major ones on the global agri market in the last decade.

INTEGRITES successfully represented the interests of an Eastern European trader as claimant in a London-seated GAFTA arbitration against a Swiss trader as respondent under the sales contract concluded via broker.

INTEGRITES successfully protected interests of Centravis, one of the world’s top manufacturers of seamless stainless-steel pipes, in a sunset antidumping investigation. Initiated by the Russian producers of the same product, the investigation related to the import of pipes of the Ukrainian origin onto the territory of the Eurasian Economic Union (EEU).

INTEGRITES protected the interests of SE Starokostiantynivskyy milk plant in the court of the first instance in a dispute against the Antimonopoly Committee of Ukraine (the AMCU). The dispute arose due to the appeal of the AMCU's decision to impose the largest fine in its history (UAH 84 mln or app. USD 3 mln) in the field of protection against unfair competition on the firm’s client.

INTEGRITES advises the National Securities and Stock Market Commission (NSSMC) on improving energy commodity markets, including organized trading for commodity products, in Ukraine. The firm is part of consortium with PwC EU Services EESV and Correggio Consulting Ltd (both – Belgium) that was awarded implementation of the project by the European Union. The project is a registered technical assistance administered through the Delegation of European Commission in Ukraine.

INTEGRITES assisted Sturgeon Capital*, the UK-based investment boutique, with the due diligence of PeopleForce**, an HRM solution provider for small and medium businesses with main operations based in Kyiv, Ukraine. Following the successful due diligence, Sturgeon Capital, with the participation of other strategic investors, has closed its first investment in Ukraine – USD 700K round for PeopleForce. The capital injection will be used to develop new features, grow the internal team, expand into new markets, and increase brand awareness.

INTEGRITES successfully protected interests of a German equipment manufacturer before the Commercial Cassation Court in a dispute related to the recovery of inflation losses and 3% of the annual interest rate in the amount of UAH 6 mln. The dispute arose due to failure of NNEGC Energoatom, one of Ukraine’s largest energy generating state-owned enterprises, to pay the long overdue debt for the special equipment supplied by the firm’s client to SSE Chornobyl NPP.

INTEGRITES advises EuroCape Ukraine I LLC, an indirect subsidiary of LongWing Energy S.C.A., a Luxemburg-based independent power producer operating renewable assets in Europe, on commissioning of Phase I of the 500 MW Zaporizhzhia Wind Park. The facility is one of the most large-scale onshore wind farms being under construction in Ukraine.

INTEGRITES advised Chanta Mount, a subsidiary of the leading Ukrainian bakery producer Khlibni Investytsii, on USD 3 mln financing extended by Raiffeisen Bank International for construction of a new production line.

INTEGRITES Domestic Litigation team assisted the German equipment manufacturer to recover losses caused by the long-term non-repayment of the debt by one of Ukraine’s largest energy generating state-owned enterprises – NNEGC Energoatom.

INTEGRITES protected interests of one of the leading Ukrainian producers of sunflower and rapeseed oils at the administrative court of appeal in the UAH 25 mln tax dispute against the Office of Major Taxpayers of the State Tax Service.

International Trade practice at INTEGRITES successfully represented interests of Foshan Vinmay Stainless Steel Co. Ltd* (China) in the antidumping investigation initiated by the leading Russian stainless pipes producers. The investigation related to the imports of welded stainless pipes manufactured in China to the customs territory of the Eurasian Economic Union.

INTEGRTIES has advised the Ministry of Finance of Ukraine (Minfin) and JSB Ukrgasbank, a state-owned bank, in connection with EUR 30 mln loan agreement and implementation agreement with the International Finance Corporation (IFC). The five-year loan for Ukrgasbank comes with an option for IFC to convert the loan into the common shares. The deal is unique for the Ukrainian banking market and is an important step towards privatization of Ukrgasbank.
