Equity Partner, based in Brussels. Bernard O’Connor is an EU and WTO lawyer and manages the Brussels office of Nctm. Mr O’Connor advises domestic and international clients on EU and WTO Law. Qualified in 1980, Bernard opened his own practice in 1996. In 2009 Bernard joined Nctm. He has extensive litigation experience both in the EU courts in Luxembourg and in WTO dispute settlement in Geneva. He currently represents the Council of the EU in trade cases before the EU courts. Many of his cases have concerned EU and WTO food and agricultural law. Mr O’Connor teaches in a number of universities including: the State University, Milan, (full time course, undergraduate); the MILE at the University of Bern, and at IELPO, University of Barcelona and at Carlos III, Madrid (all trade modules, post graduate). Raffaele Caldarone deals with corporate and commercial law. His experience includes M&A transactions and assistance to clients in business law issues. Equity Partner. Riccardo's practice specializes primarily on M&A and Private Equity. As part of the Private Equity team, he regularly advises Italian and international private equity funds on their investments in Italy, which primarily include capital expansion and buy-out deals, as well as investments in distressed situations, either Court driven or out-of- Court. Riccardo has considerable experience in providing assistance on corporate governance issues either for public or companies preparing for their initial public offering (IPO), and the Borsa Italiana’s Best Practices, and for private companies backed by financial investors (e.g. setting up corporate governance in MBOs; structuring stock option and long-term incentive plans and other issues).

Riccardo Sallustio specialises in banking and finance. His expertise includes leverage finance, debt restructuring, private placements and bond issues, green and sustainable finance and real estate finance. Riccardo regularly advises lenders, financial sponsors, private debt and distressed-funds in lending and bond transactions (both cross-border and domestic) and investors in the structuring and execution of acquisitions of single name NPLs and UTPs, debt-to-own and debt restructurings (concordati preventivi, restructuring agreements and out-of-court arrangements) also in the context of distressed M&A transactions related to industrial and real estate assets. Riccardo has also a strong expertise in green and sustainable finance, where he advises clients on ESG due diligence aspects and methodologies, green and sustainable financial and banking products (under international standards as well as aligned with the EU Taxonomy) and on social and governance best practices. He has contributed to the drafting, for The Chancery Lane Project (TCLP), of standard clauses of sustainability-linked loans and of standard objects clauses for companies committed to the achievement of Net Zero targets. He also contributed to the drafting of the standard Italian law governed Private Placement documentation for the Loan Market Association (LMA). He is Adjunct Professor (Professore a contratto) of Green and Sustainable Finance in the MSc ‘Law, Digital Innovation and Sustainability’, at LUISS ‘Guido Carli’, Rome, for the academic year 2021/2022. Equity Partner. Rosemarie Serrato is an expert of the Town Planning practice within the Real Estate department. She is based in the Milan office. Rosemarie specializes in public law, town planning, environmental law, and energy and public-procurement. She takes part in the evaluation of major real estate portfolios in the process of disinvestment, and has advised several urban transformation companies. She has also advised on administrative and planning proceedings both for private clients and public administration. She follows all aspects of town planning law, from due diligence to construction contracts related to government zoning plans, the preparation of administrative procedures for the approval of complex real estate redevelopment and development projects, to the granting of building permits and business licenses. She also assists public bodies in relation to real estate investment funds, the enhancement and sale of public assets and social housing. She assists Italian and international clients in all areas of administrative law. She has vast experience in public procurement, concessions and project financing. She also assists clients in relation to tendering procedures launched by Italian Public Administrations for the award of public works contracts, supply and service contracts, public service and construction concessions, and management with the project financing system. She offers legal assistance in the various stages of these procedures, supporting the client in managing the relationship with the various administrations involved. She also supports clients in the implementation phase of the contract with the contracting authority.
